Atlas Placement Agreement

A counsel-reviewed version will be presented for signature when placement-fee billing turns on. Nothing on this page is in effect today; all posting and hiring during early access is free.
1. The model
Atlas ("we") operates an anesthesia hiring marketplace. Posting jobs on Atlas is free. Messaging clinicians is free. Reviewing applications is free. Atlas charges Facility a placement fee only when Facility hires a clinician who was introduced via Atlas.
A portion of every placement fee Facility pays is rebated to the hired clinician as a reporting bonus. Atlas pays the clinician directly — this is how we incentivize clinicians to use the platform and to truthfully report hires.
2. Definitions
- Introduction means any of: (a) Clinician submits an application to a Facility job posting via Atlas; (b) Facility's authorized user views Clinician's profile inside Atlas; (c) Facility sends a message or offer to Clinician via Atlas; (d) Clinician sends a message to Facility via Atlas; (e) Facility downloads any document Clinician shared with Facility via Atlas.
- Attribution Window is the 12 months following the most recent Introduction event between Clinician and Facility.
- Reportable Hire means any employment relationship — W-2, 1099, locum, per-diem, contract-to-hire, or any other arrangement — entered into between Facility (or any affiliate, parent, or subsidiary) and Clinician during the Attribution Window, regardless of how the hire was sourced or finalized.
3. Placement fee
Facility shall pay Atlas a flat placement fee for each Reportable Hire, on the following schedule (illustrative, subject to counsel review):

Invoices are issued within 5 business days of Facility recording (or attesting to) a Reportable Hire. Net 30 payment terms.
4. Quarterly attestation
Facility shall attest in writing every 90 days as to all anesthesia hires made during the prior period and shall confirm whether each hire of an Introduced clinician constitutes a Reportable Hire. Failure to attest within 14 days of the period close suspends Facility's ability to post new jobs and message new clinicians until attestation is complete.
5. Verification window
The placement fee is fully earned upon Reportable Hire. However, if Clinician's employment with Facility ends within 90 days of the start date for any reason other than Facility-initiated termination without cause, Atlas shall waive the placement fee or refund any amount already paid, and the corresponding clinician bonus shall be forfeited.
6. Equal Employment Opportunity and Posting Compliance
By signing this agreement, the Facility affirms that all job postings made through Atlas will comply with:

Title VII of the Civil Rights Act, the Americans with Disabilities Act (ADA), the Age Discrimination in Employment Act (ADEA), and any other federal equal-employment-opportunity laws applicable to the Facility's hiring practices.

The Fair Credit Reporting Act (FCRA) to the extent the Facility uses background-check information in hiring decisions made on the platform.

Pennsylvania pay-transparency law and any equivalent state or local pay-transparency requirements applicable to the position posted — including the requirement to disclose a good-faith compensation range where the law so requires.

Anti-retaliation protections — the Facility will not retaliate against a clinician for asking compensation-related questions or declining a posting.
Atlas is not the employer for any posted position and does not participate in the Facility's hiring decisions. The Facility remains solely responsible for compliance with employment laws. Atlas may remove postings that, on their face, appear to violate the above (for example, postings that exclude protected classes by their stated criteria).
The Facility agrees to indemnify Atlas against any third-party claim arising out of the Facility's non-compliance with the obligations in this section.
7. Audit + dispute resolution
Atlas maintains a complete log of every Introduction event, timestamped and attributed to the acting user. In the event of a dispute, this log is dispositive evidence of the Introduction. Either party may request a copy of the relevant audit trail.
8. Other terms
Term, termination, governing law (Pennsylvania), arbitration clause, confidentiality, and indemnification provisions to be finalized with counsel.
